Welcome to SquarePlan. These Terms and Conditions ("Terms") govern your use of our website at squareplan.com (the "Website") and our SquarePlan App (the "App"), as well as our professional business plan writing services (the "Writing Service").

By accessing our Website, using our App, or engaging our Writing Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

These Terms should be read alongside our Privacy Policy and Cookies Policy.

3. Our Services

We offer two distinct services:

3.1 Professional Business Plan Writing Service

A bespoke service where our qualified consultants create a professional business plan tailored to your specific business requirements. This service includes:

• Consultation to understand your business goals and requirements
• Creation of tailored financial projections
• Professional business plan document preparation
• Revisions within the agreed project scope
• Phone and email support throughout the process

3.2 Business Plan Software (SquarePlan App)

A subscription-based, self-service software platform that enables you to create your own business plan through a guided, question-based approach. Features include:

• Interactive question-based business plan builder
• UK tax calculations (VAT, Corporation Tax, National Insurance)
• Financial projection tools
• Professional PDF export functionality
• Save and edit functionality
• Ongoing access while subscription is active

4. Account Registration (App Users)

To use the SquarePlan App, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Not share your account credentials with others
• Notify us immediately of any unauthorised use of your account
• Be responsible for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or provide false information.

5. Pricing and Payment

5.1 Professional Writing Service

Pricing for the Writing Service is determined on a project-by-project basis. You will receive a quote before work begins. Payment terms will be outlined in your quote and may include:

• An initial deposit to commence work
• Final payment upon completion and delivery

Work will not commence until the agreed deposit has been received. The final deliverable will be provided once full payment is received.

5.2 Business Plan Software

The App is offered as a monthly subscription service at £39.99 per month (or as otherwise displayed on our Website).

Payment Processing: Payment processing for the App is handled by Stripe, Inc. ("Stripe"), our payment service provider.

Important: Square Plan Limited is the seller and merchant. When you subscribe, you enter into a subscription agreement with us (not Stripe). Stripe processes payments on our behalf.

Payment Card Security: All payment card information is collected and securely processed by Stripe using industry-standard PCI DSS Level 1 compliance. We do not directly collect, store, or have access to your full payment card details.

Subscription fees are charged monthly on a recurring basis until you cancel your subscription. By subscribing, you authorise us to charge your payment method via Stripe on a recurring monthly basis.

We reserve the right to change our pricing with 30 days' notice to existing subscribers. Price changes will not affect your current billing cycle.

6. Refunds and Cancellation

6.1 Professional Writing Service

Refund policies for the Writing Service will be outlined in your project quote. Once work has commenced, deposit payments are generally non-refundable as work is tailored specifically to your requirements.

If you are dissatisfied with the final deliverable, we will work with you to make reasonable amendments within the agreed project scope.

6.2 Business Plan Software (Consumer Right of Withdrawal)

Statutory Right: If you are a consumer (not a business), you generally have a legal right to cancel your subscription within 14 days of sign-up and receive a full refund.

Waiver upon Completion: Our service is designed to help you generate a business plan. By using the software to complete your plan, you expressly request the immediate supply of digital content and acknowledge that this waives your right of withdrawal.

Important Acknowledgement: You acknowledge and agree that you lose your right of withdrawal/cancellation once your business plan reaches 100% completion (or "Ready to Export" status) within the App. At this point, the digital content is considered "fully supplied" as it is available for your immediate viewing, use, or download. This is the point at which our service has been performed in full.

Refund Eligibility:

• Before Completion (<100%): If you cancel before your plan is marked as complete/100%, you are entitled to a full refund within the 14-day cooling-off period.
• After Completion (100%): Once a plan has been completed or viewed in full, no refund will be issued for the current billing period, even if you have not physically downloaded the PDF file.

How to Cancel: You may cancel your subscription at any time through your account settings or via the Stripe customer portal. Cancellation will take effect at the end of your current billing period - you will retain access to the App until that date.

Upon cancellation, you will no longer be charged for future billing periods, but you will lose access to the App and any data stored within it once your current subscription period ends.

Disputes and Chargebacks: If you have any billing concerns or disputes, please contact us directly before initiating a chargeback with your payment provider. Initiating a chargeback for services that have been delivered (i.e., after your business plan has been completed) may result in immediate suspension of your account and may be considered a breach of these Terms. We reserve the right to pursue recovery of fees for services delivered and to report fraudulent chargebacks to the appropriate authorities.

7. Intellectual Property Rights

7.1 Your Business Plan Content

You retain full ownership of the business plan content you create or we create for you, including:

• Your business information and data
• Financial projections specific to your business
• The final business plan document

Once payment is complete (for Writing Service clients) or while your subscription is active (for App users), you have the right to use, modify, and distribute your business plan as you see fit.

7.2 Our Platform and Methodology

We retain all intellectual property rights to:

• The SquarePlan App software, code, and platform
• Our methodologies, frameworks, and processes
• Our Website content, design, and branding
• Templates, calculations, and tools within our software

You may not copy, reproduce, modify, reverse engineer, or create derivative works from our software or methodology.

7.3 Licence to Use Our Software

We grant you a limited, non-exclusive, non-transferable licence to use the SquarePlan App for your own business planning purposes while your subscription is active. This licence does not permit you to:

• Resell, sublicense, or provide the software to third parties
• Use the software to provide services to other businesses
• Extract or copy our underlying code, algorithms, or methodologies

8. User Responsibilities and Acceptable Use

When using our services, you agree to:

• Provide Accurate Information: Ensure all information you provide is truthful, accurate, and complete.
• Lawful Use: Use our services only for lawful purposes and in compliance with all applicable laws and regulations.
• Professional Use: Use the services in a professional manner consistent with their intended purpose of business planning.
• Data Security: Take reasonable steps to protect your account credentials and any sensitive business information.

9. Prohibited Activities

You must not:

• Share Account Credentials: Share your SquarePlan App login details with others or allow others to use your account.
• Resell or Commercial Use: Use our App to provide business planning services to others, resell access, or use it for any commercial purpose beyond creating your own business plan.
• Unlawful or Fraudulent Purposes: Use our services to create fraudulent business plans, misrepresent information to lenders or investors, or for any illegal activity.
• Reverse Engineering: Attempt to reverse engineer, decompile, disassemble, or extract the source code of our software.
• Automated Access: Use bots, scrapers, or automated tools to access our services without our express written permission.
• Interfere with Services: Attempt to disrupt, damage, or impair our services or servers.
• Circumvent Security: Bypass or attempt to bypass any security measures or access restrictions.

Violation of these prohibitions may result in immediate termination of your account and legal action where appropriate.

10. Revisions and Amendments (Writing Service)

For clients using our Professional Writing Service:

• We will work with you to ensure the business plan meets your requirements within the agreed project scope.
• Revisions and amendments are permitted where they fall within the original scope of work outlined in your project quote.
• Significant changes that fall outside the agreed scope (e.g., major structural changes, additional sections, or fundamental changes to business model) may require a new quote and additional fees.
• We will communicate openly about what constitutes in-scope versus out-of-scope changes.

11. Warranties and Disclaimers

11.1 Professional Effort

We will provide our services with reasonable skill and care, consistent with professional business planning standards. However, our services constitute professional business planning assistance and do not constitute formal financial advice, legal advice, or investment advice.

11.2 No Guarantee of Outcomes

Important: We cannot and do not guarantee that:

• You will secure funding, loans, or investment as a result of using our services
• Your business will be successful or profitable
• Lenders, investors, or grant providers will approve your application
• The financial projections will reflect actual future results

Business plans are forward-looking documents based on assumptions and estimates. Actual results will vary and are influenced by numerous factors beyond our control.

11.3 Client Responsibility for Information

The quality and accuracy of the business plan depends significantly on the information you provide. You are responsible for:

• The accuracy and completeness of all information, data, and assumptions you provide
• Ensuring your business plan complies with requirements of your specific lender, investor, or grant provider
• Verifying that all statements in the business plan are truthful and not misleading
• Seeking independent financial, legal, or professional advice where appropriate

We work with the information you provide and cannot independently verify all facts, figures, or market assumptions.

11.4 Software Provided "As Is"

The SquarePlan App is provided on an "as is" and "as available" basis. While we strive to ensure the software is reliable and error-free, we do not warrant that:

• The App will be uninterrupted, secure, or error-free
• Defects will be corrected immediately
• The App will be compatible with all devices or browsers

We will make reasonable efforts to maintain the service and address technical issues promptly.

12. Limitation of Liability

To the fullest extent permitted by law:

12.1 Financial Cap

Our total liability to you for any claims arising from or related to our services (whether in contract, tort, negligence, or otherwise) shall be limited to:

• For Writing Service clients: The total fees you paid for the specific project giving rise to the claim.
• For App subscribers: The total fees you paid for your subscription in the month immediately preceding the claim.

12.2 Exclusion of Consequential Losses

We shall not be liable for any indirect, consequential, special, or incidental damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of anticipated savings
• Loss of data or information
• Failure to secure funding or investment
• Damage to reputation or goodwill

12.3 Exceptions

Nothing in these Terms excludes or limits our liability for:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Any other liability that cannot be excluded or limited under UK law

13. Termination

13.1 Termination by You

App Users: You may cancel your subscription at any time as described in Section 6.2 above.

Writing Service Clients: You may terminate a project by providing written notice. Termination does not entitle you to a refund of any deposit or fees for work already completed.

13.2 Termination by Us

We reserve the right to suspend or terminate your access to our services immediately and without prior notice if:

• Non-Payment: Your subscription payment fails or you fail to pay invoices for the Writing Service.
• Breach of Terms: You violate any provision of these Terms and Conditions.
• Fraudulent or Illegal Use: We reasonably believe you are using our services for fraudulent, abusive, or illegal purposes.
• Prohibited Activities: You engage in any of the prohibited activities outlined in Section 9.

Upon termination, your right to use our services ceases immediately. We are not liable for any losses resulting from termination in accordance with these Terms.

13.3 Effect of Termination

Upon termination of your App subscription:

• You will lose access to the SquarePlan App
• We may delete your account data in accordance with our data retention policies (see our Privacy Policy)
• You should export any business plans or data you wish to retain before cancellation

14. Data Protection and Privacy

We are committed to protecting your personal data in accordance with UK GDPR and the Data Protection Act 2018. Our collection, use, and protection of your personal information is governed by our Privacy Policy.

By using our services, you consent to our collection and use of information as described in our Privacy Policy.

Your Business Data: For App users, you retain ownership of your business plan content. We will not share your business information with third parties except as necessary to provide our services (e.g., hosting providers) or as required by law.

15. Availability and Service Changes

We aim to provide reliable, uninterrupted service, but we cannot guarantee 100% uptime. Our services may occasionally be unavailable due to:

• Scheduled maintenance (we will provide advance notice where reasonably possible)
• Technical issues or server problems
• Circumstances beyond our reasonable control (force majeure)

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will provide reasonable notice of material changes where practicable.

16. Third-Party Links and Services

Our Website may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of use of third-party sites. Your use of third-party services is at your own risk.

• Your business plan content or how you use it

These Terms and Conditions are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and Cookies Policy, constitute the entire agreement between you and Square Plan Limited regarding your use of our services and supersede any prior agreements or understandings.

We reserve the right to update or modify these Terms at any time. When we make changes, we will:

• Notify App users via email or in-app notification for material changes
• Provide 30 days' notice for changes that materially affect your rights

Your continued use of our services after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you should discontinue use of our services and cancel your subscription.
